1 Overview

This Universal Terms of Service Agreement (this “Agreement”) is entered into by and between you and monogosticker.com and is effective as of the date of your use of the website (hereinafter referred to as the “Website”) or the electronic version of this Agreement. The term “we”, “us” or “our” refers to monogosticker . “You”, “your”, “User” or “Customer” refers to any individual or entity who accepts this Agreement and has access to your account or uses the Services. Nothing in this Agreement shall be deemed to confer any rights or benefits on any third party.

2. Modifications to the Agreement, Website or Services

monogosticker has the sole and absolute discretion to change or modify this Agreement, any policy or agreement established hereunder, at any time, and such changes or modifications shall be effective immediately upon posting to this Website. If you use this Website or Service after such changes or modifications, you are deemed to have accepted this last revised Agreement. If you do not agree to be bound by the last revised Agreement, please stop using (or continue to use) this Website or Service. In addition, monogosticker may notify you of changes or modifications to this Agreement from time to time by email . Therefore, it is very important to ensure that your account (” Account “) information is up to date. Monogosticker is not responsible for any inaccurate or outdated email notifications. In addition, monogosticker may terminate your use of the Service for any violation or breach of any provision of this Agreement. Monogosticker reserves the right to modify, change or terminate any aspect of the Website or Service at any time, including but not limited to the prices and fees of the relevant parties.

3. Qualifications; Authority

The Site and Services are provided only to individuals who can form a legally binding contract under applicable law (“Users”). By using the Site or Services, you represent and warrant that you are ( i ) at least eighteen (18) years of age, (ii) can be deemed to be able to form a legally binding contract under applicable law, or (iii) are not a person barred from purchasing or receiving services under the laws of the United States or other applicable jurisdictions.

IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A BUSINESS ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THE BUSINESS ENTITY TO THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT, IN WHICH CASE THE TERMS “YOU,” “YOUR,” “USER,” OR “CUSTOMER” SHALL REFER TO THE BUSINESS ENTITY. IF YOU ACCEPT THIS AGREEMENT ELECTRONICALLY, AND If monogosticker finds that you do not have the legal authority to bind that entity, you will be solely responsible for the obligations contained in this Agreement, including but not limited to payment obligations. monogosticker shall not be liable for any loss or damage arising from any instruction, notice, document or communication provided by monogosticker’s reasonable belief that your company’s authorized representative is genuine. If you have reasonable doubts about the authenticity of any such notice, notification, document or communication, monogosticker reserves the right, but has no obligation to do so, to provide you with alternative proof. You also agree that the terms of this Agreement will govern transactions conducted by you, your agents, and anyone using your account or the Services, whether or not authorized by you.

4. Your Account

In order to access certain features of the Site or use certain services, you will need to create an account . You represent and warrant to Monogosticker that all information you submit when creating an account is accurate, current and complete, and that you will keep your account information accurate, current and complete. If Monogosticker has reason to believe that your account information is untrue, inaccurate, outdated or incomplete, Monogosticker reserves the right to suspend or terminate your account at its sole discretion . You are solely responsible for the activity that occurs on your account , whether or not authorized by you, and you must also keep your account information secure, including but not limited to your customer number/login, password, payment method (defined below) . You must immediately notify Monogosticker of any security breach or unauthorized use of your account . Monogosticker is not responsible for any losses caused by any unauthorized use of your account . However, you may be held responsible for any losses incurred by U4GM or others as a result of your account , whether caused by you or an authorized or unauthorized person.

5. Code of Conduct

You acknowledge and agree that:

i . Your use of the Site and Services, including any Content you submit, is subject to this Agreement and all applicable local, state, national and international laws, rules and regulations.

1. You may not collect or harvest (or allow anyone else to collect or harvest) any User Content (defined below) or any non-public or personally identifiable information about other users or any other person or entity without our prior express written permission.

iii. You may not use the Website or Services in the following ways (as determined by monogosticker in its absolute discretion):

is illegal, or promotes or encourages illegal activity;

promotes, encourages or engages in child pornography or child exploitation;

Promote, encourage or participate in acts of terrorism and violence against people, animals or property;

promote, encourage or participate in the dissemination of any spam or other bulk unsolicited mail, or engage in computer or network hacking or decryption activities;

Violate the Ryan Hite Online Pharmacy Consumer Protection Act of 2008 or similar laws, or promote, encourage or sell prescription drugs without a valid prescription;

Violates the Cyber Sexual Offences Act 2017 or similar legislation, or promotes prostitution and/or sex trafficking;

Infringe the intellectual property rights of another user or any other person or entity;

Violate the privacy or publicity rights of another user or any other person or entity, or breach any obligation of confidentiality you may have to another user or any other person or entity;

interfere with the operation of the Site or the services offered on the Site;

contains or installs any viruses, worms, bugs, Trojan horses or other code, files or programs that are designed to (or capable of) disrupting, destroying or limiting the functionality of any software or hardware; or

Contains false or deceptive language or unconfirmed or relative status of the Monogosticker or Monogosticker ‘s Services.

4. Unless You may not reproduce or distribute any part of the Site or Services in any way unless expressly authorized by MonogoSticker .
5. You may not modify or alter any portion of the Site or the Services or any related technology found on the Site.

Monogosticker Content (defined below) or User Content through any technology or means other than the Site itself or in any manner designated by Monogosticker .

vii. You agree to back up all of your User Content so that it can be accessed and used when needed. Monogosticker does not guarantee that any account or User Content will be backed up, and you agree to accept the risk of losing some or all of your User Content.

vii. You may not resell or provide the Services (including any MonogoSticker related technology) for commercial purposes without MonogoSticker’s prior express written consent .

1. You agree not to circumvent, disable or otherwise interfere with security-related features of the Site or the Services on the Site, including without limitation features that prevent or restrict use or copying of any MonogoSticker Content or User Content. The Act does not impose limitations on the use of the Site or the Services on the Site, MonogoSticker Content or User Content.
2. You agree to provide a government-issued photo ID and/or a government-issued business ID to verify your identity.

Xi. You acknowledge that monogosticker may call you from time to time to discuss your account , and agree that any such calls may be recorded. Recordings will be subject to any applicable laws and our restrictions and obligations, including recording calls as fully as possible, regardless of whether U4GM requires you to consent to such recordings. You further acknowledge and agree that any such recordings may be used as evidence in any legal proceeding filed by a monogosticker party, to the extent permitted by applicable law. In addition, by providing your telephone or mobile number, you consent to receive marketing calls from monogosticker or its representatives, which may be initiated by an automatic telephone dialing system and/or use manual or pre-recorded voices.

6. Protecting your data

monogosticker provides you with some account information that your gaming service colleagues may need . Our moderators have signed a security agreement for gaming services before entering the service. And all data is encrypted and must be used for viewing. And every operation has a detailed log record.

7. User Content

the Site or Services (including those hosted by monogosticker ) may allow users to view, publish, post, share, store or manage (a) ideas, opinions, suggestions or notices, content submissions for suggestions through forum posts and contests, product reviews or recommendations or photos for inclusion in social media campaigns (“User Submissions”), or (b) literary, artistic, musical or other content, including, but not limited to, photos and videos (and User Submissions, “User Content”). All content submitted and posted to your account is considered User Content. By publishing or posting User Content to the Site or posting User Content to or through the Services, you represent and warrant to U4GM that: ( i ) you have all necessary rights to distribute the User Content through the Site or Services . Either you are the author of the User Content and have the right to distribute it or because you have obtained the appropriate written distribution rights, licenses, consents and/or use rights granted by the copyright or other owner of the User Content , and (ii) the User Content does not infringe the rights of any third party. You are solely responsible for the User Content or any and all User Content submitted through your account and the consequences and requests resulting from its distribution.

User Submissions. You acknowledge and agree that your User Submissions are entirely voluntary and do not create a confidential relationship or obligate Monogosticker to treat your User Submissions as confidential or secret, that Monogosticker has no obligation, express or implied, to develop or use your User Submissions, and that Monogosticker has no liability to you or anyone else for any intentional or unintentional use of your User Submissions, and that Monogosticker may be working on the same or similar content, or may have obtained it from other sources, or may wish to develop such (or similar) content on its own, or may have taken/will take other actions.

monogosticker owns exclusive rights (including all intellectual property and other proprietary rights) to any content posted by any user to the Site and shall be entitled to unrestricted use and distribution of any content posted by any user to the Site for any commercial or other purpose without acknowledging or compensating you or anyone else for any submission.

User Content other than User Submissions. By publishing or posting User Content on the Site or through the Services, you grant monogosticker the right to use the intellectual property and other proprietary rights in your User Content, to allow its inclusion on the Site and to use the User Content in the manner contemplated by this Agreement. You hereby grant monogosticker a worldwide, non-exclusive, royalty-free, sublicensable (through multiple levels), and negotiable license to use, reproduce, distribute, prepare derivative works of, combine with other works, display and perform the Site, Services and User Content in connection with monogosticker’s (and monogosticker’s franchisees’) business, including without limitation for promoting and redistributing all or part of the Content in any media formats and through any media channels, without restriction of any kind, free of charge and without any consideration of any kind, and without the need to provide permission or notice to you or third parties. You also hereby grant each user of the Site access to your User Content through the Site (except for User Content that you designate as “private” or “password protected”) and a non-exclusive license to use, reproduce, distribute, prepare derivative works of, combine with other works, display and perform your User Content as permitted by the Site and functionality under this Agreement. The license to User Content granted above by you will terminate at a commercially reasonable time after you remove or delete the Content from the Site. However, you understand and agree that monogosticker may retain (but not distribute, display, or perform) copies of User Content that has been removed or deleted. The license you grant above in User Content is perpetual and irrevocable. Notwithstanding anything to the contrary in this section, in order to promote the Site or Monogosticker (or a Monogosticker franchisee) does not use any of your User Content that is private or protected by your password. If you own a website or other content hosted by Monogosticker , you should retain all ownership or rights in your User Content.

8. Website/Service Availability

9. Content Monitoring; Account Termination Policy

U4GM does not generally pre-screen User Content, whether posted on a website hosted by Monogosticker or on the Website. However, Monogosticker reserves the right (but assumes no responsibility) to pre-screen and determine whether any User Content is appropriate and/or subject to the rights of this Agreement. Monogosticker may remove any User Content at any time without notice to you (whether posted on a website hosted by Monogosticker or on the Website) and/or terminate a user’s access to the Website or the Services on the Website if the user posts or publishes any material that violates this Agreement, or violates this Agreement (which is determined in Monogosticker ‘s sole and absolute discretion) . Monogosticker may also terminate a user’s access to the Website or the Services on the Website if Monogosticker has reason to believe that the user has repeatedly violated the rules. If Monogosticker terminates your access to the Website or the Services on the Website, Monogosticker may, in its sole and absolute discretion, delete and destroy all of your data and services stored on its servers.

10. Termination of Service; Expiration Policy

monogosticker reserves the right to discontinue providing a product or any service at any time, for any reason or no reason, without prior notice. While monogosticker does its best to maximize the lifecycle of all its services, sometimes a service we provide comes to an end or reaches the end of its lifecycle (“EOL”). If this is the case, monogosticker will no longer support that product or service in any way after the EOL date takes effect.

(A) GENERAL TERMS, INCLUDING AUTOMATIC RENEWAL TERMS

Payment Due; Non-Refundable. You agree to pay all amounts due when you order the Services. All amounts are non-refundable unless otherwise provided in the Refund Policy.

Price Changes. Monogosticker expressly reserves the right to change prices and fees at any time, which changes shall be posted on this Site and effective immediately, without further notice. If you have purchased or received Services for a period of months or years, changes in prices and fees shall be effective when the relevant Services come up for renewal (as further explained below).

Payment Types. Unless prohibited by any Product-Specific Agreement, you may pay for the Services using one of the following “Payment Methods”: ( i) PayPal; (ii) credit card through PayPal or (vi) store credit balance, as applicable (as defined below), each a “Payment Method”. The Express Pay service will automatically order the applicable Services and charge the primary Payment Method on file for your Account . Order confirmations will be sent to the email address on file for your Account . Your Payment Method on file must remain current if you have any activated Services in your Account . In addition, you agree that the location where payments are processed may change for any reason, including changes or updates to the type of Payment Method selected, the currency selected, or the Payment Method.

Refunds are refunds. You agree that when a refund is sent to your Payment Method, the refund receipt issued by Monogosticker is only a confirmation that Monogosticker has submitted your refund to the Payment Method of the initial sale, and Monogosticker cannot control when the refund will be returned to the available balance of your Payment Method. You also acknowledge and agree that the payment provider and/or individual issuing bank associated with your Payment Method will determine and control when your refund is issued, which may take anywhere from five (5) days to a full billing cycle, or longer.

If for any reason Monogosticker is unable to debit your payment method for all outstanding amounts, or Monogosticker receives a chargeback, reversal, payment dispute notice, or penalty for any fees previously charged to your payment method, you agree that Monogosticker may take all available legal remedies to obtain payment, including but not limited to immediate cancellation of any online game agent, gold, material, weapon service you represent without notice to you. Monogosticker reserves the right to charge you reasonable fees for: (i ) Monogosticker may perform tasks outside of its normal scope of services, (ii) Monogosticker may require additional time and /or expenses in providing services , and/or (iii) you breach this Agreement (as determined by U4GM in its sole discretion). Common situations where administrative or handling fees are required include, but are not limited to: ( i ) customer service issues that require additional personal time and attention; (ii) UDRP actions related to your domain name and/or disputes that require accounting services or legal services, whether provided by MonogoStickers employees or by an outside firm hired by MonogoStickers ; (iii) chargebacks or other payment disputes caused by you, your bank or your payment method processor, MonogoStickers deducts any and all fees and expenses, including service fees, from MonogoStickers . These administrative or handling fees will be settled according to the payment method selected by you in your MonogoStickers file.

monogosticker may offer product-level pricing in multiple currencies. Transactions will be processed in the selected currency and the price displayed during the checkout process will be the actual amount submitted for payment. For certain payment methods, your payment method issuer may charge you a foreign currency transaction fee or other fees, which may be added to your bank statement or the final amount posted as a separate amount. For more information, please consult the issuer of your payment method. In addition, regardless of the currency selected, you acknowledge and agree that you may be charged additional value added tax (“VAT”), goods and services tax (“GST”) or bank and/or other localized fees and/or taxes based on your billing address . or country.

(B) Refund Policy

The products and services that are eligible for refunds are described here (the “Refund Policy”).

monogosticker expressly reserves the right to review each account for excess space and bandwidth usage and to terminate or apply additional charges for accounts that exceed permitted levels.

If you are If you harass or threaten MonogoSticker and/or any of MonogoSticker ‘s employees, MonogoSticker shall have the right, in its sole discretion, to terminate any and all of your Services without notice to you.

Monogosticker Content. Excluding User Content, the content on the Site and Services, including but not limited to text, software, scripts, source code, APIs, graphics, photos, sounds, music, videos and interactive features, and trademarks, service marks and logos (the ” Monogosticker Content”), is owned or licensed in perpetuity by Monogosticker . The Monogosticker Content is provided to you “as is,” “as available,” and “with all faults,” and you may use it solely for your non-commercial, personal information and may not download, copy, distribute, transmit, broadcast, display, sell, license or use without the prior express written permission of Monogosticker . No right or license under any copyright, trademark , patent or other proprietary right or license is granted by this Agreement. Monogosticker reserves all rights not expressly granted in and to the Monogosticker Content, the Site and Services, and no ownership of any of those rights is transferred by this Agreement.

11. No Spam; Penalties

No Spamming. We do not tolerate the spread of spam. We monitor all traffic to and from our web servers for signs of spam and maintain a Spam Abuse Complaint Center to register allegations of spam abuse. We will fully investigate customers suspected of using our products and services for spam purposes. If we determine that there is a spam problem, we will take appropriate steps to address the situation.

We define spam as the sending of unsolicited commercial email (UCE), unsolicited bulk email (UBE) or unsolicited fax (fax) without first receiving these communications. Advertising or otherwise sending emails or faxes to recipients without their explicit consent. In this regard, various measures may be taken, including but not limited to the following:

In addition, notwithstanding anything else in these Terms, you agree that a court, not an arbitrator, may decide whether a claim falls within one of these four exceptions.

( B) BINDING ARBITRATION. You and monogosticker further agree that ( i ) all disputes between the parties will be arbitrated in accordance with these Terms; (ii) these provisions constitute transactions in interstate commerce; (iii) the Federal Arbitration Act (9 USC §1, Et Seq.) limits the interpretation and enforcement of this section; and (iv) this section will survive termination of these Terms. By arbitrating, you waive your right to a trial by a judge or jury, and your grounds for appeal are limited. The arbitrator may award you the same damages as a court sitting in an appropriate jurisdiction, subject to the limitations of liability set forth in Section 15 of this Agreement , and may award you declaratory or injunctive relief, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party’s individual claim. In addition, in some cases, the costs of arbitration may exceed the costs of litigation, and the right to present evidence in arbitration may be more limited than in court . The arbitrator’s decision shall be finally enforceable by any court having jurisdiction over the parties.

19. Ownership; Independent Contracts; Severability

The headings in this Agreement are for convenience and ease of reference only and shall not be used in any way to analyze and interpret the agreement between the parties, except as otherwise provided in this Agreement. Each contract and agreement in this Agreement shall be deemed to be a separate and independent contract or agreement for any purpose. If a court of competent jurisdiction holds that any provision (or part of a provision) of this Agreement is illegal, invalid or unenforceable, the remaining provisions (or parts of the provisions) of this Agreement shall not be affected thereby and shall be deemed to be valid and enforceable to the fullest extent permitted by law.

19. Written primarily in English

This Agreement, as defined in all of the above policies and applicable product agreements and incorporated by reference (collectively, the “Agreement”), is written in the English language. Any translations provided are for convenience only. If there is any conflict between the English version and a translated version, the English version will control, as permitted by law. In the event that a translated version is required, the following laws apply: ( i ) both languages have equal effect; (ii) each party confirms that it has reviewed both versions and that all versions are substantially identical; and (iii) if there is any conflict between the two versions, the translated version will control, taking full account of the intentions of the parties.
